1. Agreement to Terms

By accessing or using the website at https://www.checkoutsaver.com, our browser extension, APIs, or related services (the "Services") operated by Checkout Saver LLC ("Checkout Saver," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree, you must not use the Services.

2. Eligibility & Accounts

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to complete identity verification (KYC) when requested.

3. Nature of the Services

Checkout Saver provides tools related to cashback, coupons, and gift card buying/selling, wallet balances, and related features. We may modify, suspend, or discontinue any part of the Services at any time. Displayed rates, commissions, availability, and estimated payouts are not guarantees and may change.

4. Gift Cards, Listings & Verification Period

• You represent and warrant that any gift card you sell or list is legitimately obtained, unused (except as disclosed), and that you have full right to transfer it.
• You must not list stolen, fraudulently obtained, unauthorized, or previously redeemed cards, or cards obtained in violation of a retailer's terms.
• We may hold, delay, reverse, or cancel transactions during a Verification Period (which may last up to 30 days or longer if fraud is suspected) while we confirm card validity and investigate risk.
• We may refuse, cancel, or unwind any transaction that we reasonably believe is fraudulent, abusive, erroneous, or unlawful.

5. Fraud, Abuse & Prohibited Conduct

You agree not to, and not to attempt to:

• Commit or facilitate fraud, money laundering, identity theft, or abuse of promotions;
• Use bots, scrapers, or automated means except as expressly permitted;
• Circumvent security, KYC, device checks, rate limits, or fraud controls;
• Misrepresent identity, location, payment instruments, or gift card details;
• Interfere with the Services or other users' accounts;
• Use the Services for any illegal purpose.

We reserve the right to investigate suspected fraud or abuse using technical and manual means, including device fingerprinting, IP/device signals, identity verification, and transaction monitoring. We may suspend or terminate accounts, freeze or withhold wallet balances and pending payouts where permitted by law, reverse credits, and report activity to law enforcement or payment partners.

6. Identity Verification (KYC)

We may require identity verification before selling, buying, withdrawing, or accessing certain features. Failure to complete verification, or providing false documents, may result in delayed payouts, declined transactions, or account closure.

7. Wallets, Withdrawals & Fees

Wallet balances and payout methods (including PayPal, gift cards, or cryptocurrency where offered) are subject to eligibility, verification, and risk review. Withdrawals may be delayed or denied pending verification or fraud review. Fees, if any, will be disclosed in the applicable flow. Cryptocurrency and certain payout rails may be unavailable, delayed, or subject to network/provider fees outside our control.

8. Cashback & Coupons

Cashback and coupon availability depend on merchant/affiliate programs and tracking. We are not responsible for merchant changes, tracking failures outside our reasonable control, excluded purchases, or returns/chargebacks that reduce or cancel cashback. Cashback may be pending, confirmed, or reversed according to program rules.

9. Intellectual Property

The Services, including content, branding, software, and design, are owned by Checkout Saver or its licensors and are protected by intellectual property laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, lawful purposes only. You may not copy, modify, reverse engineer, or commercially exploit the Services except as expressly allowed.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHECKOUT SAVER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT GIFT CARD VALUES, CASHBACK, OR PAYOUTS WILL MEET YOUR EXPECTATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHECKOUT SAVER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US FOR THE TRANSACTION GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

12. Indemnification

You agree to indemnify, defend, and hold harmless Checkout Saver and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) gift cards or funds you submit; (c) your breach of these Terms; (d) your violation of law or third-party rights; or (e) fraud or abuse connected to your account.

13. Suspension & Termination

We may suspend or terminate access to the Services immediately for any reason, including suspected fraud, chargebacks, policy violations, or legal risk. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and fraud-related rights) will survive.

14. Privacy

Our collection and use of personal information is described in our Privacy Policy. We do not sell your personal information. We collect and process information as needed to operate the Services and to prevent fraud and abuse.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, unless mandatory consumer protections in your jurisdiction require otherwise. You agree to first contact us to attempt informal resolution of disputes. Subject to applicable law, exclusive venue for disputes will be state or federal courts located in Delaware, and you consent to personal jurisdiction there.

16. Changes to Terms

We may update these Terms at any time by posting a revised version. Continued use of the Services after changes become effective constitutes acceptance. If you do not agree, stop using the Services.
